By accessing or using FullDeal AI ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

FullDeal AI is a platform that enables startups to share deal materials with investors and advisors through an AI-powered interface. The Service includes:

• Document upload and management capabilities
• AI-powered chat and voice interaction features
• Investor and advisor access management through invitation system (all invitations require acceptance before granting access)
• Analytics and activity monitoring with privacy-preserving anonymization
• Collaboration tools for founders, co-founders, investors, and advisors

3. Account Registration

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account

You may not create an account using false information or on behalf of someone else without permission.

4. User Content

4.1 Your Content

You retain ownership of all content you upload, create, or share through the Service ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely to provide and improve the Service.

4.2 Content Responsibilities

You represent and warrant that your User Content:

• Does not violate any laws or third-party rights
• Does not contain viruses, malware, or other harmful code
• Is accurate and not misleading to investors
• Does not infringe intellectual property rights of others

4.3 Content Backup

While we implement backup procedures, you are responsible for maintaining your own backups of important content. We are not liable for any loss or corruption of User Content.

5. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems to access the Service without permission
• Harass, abuse, or harm other users
• Impersonate any person or entity or misrepresent your affiliation
• Upload content containing malware, viruses, or malicious code
• Scrape, data mine, or extract data from the Service
• Reverse engineer or attempt to derive source code from the Service

6. AI-Generated Content

The Service uses artificial intelligence to analyze documents and generate responses. AI-generated content is provided "as is" and may contain errors or inaccuracies. You should review and verify all AI-generated content before relying on it for business decisions. We are not responsible for any decisions made based on AI-generated content.

7. Intellectual Property

The Service, including its design, functionality, and underlying technology, is owned by FullDeal AI and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Remove or alter any proprietary notices
• Use our trademarks, logos, or branding without written permission

8. Payment and Subscriptions

If you subscribe to a paid plan:

• You agree to pay all fees according to the pricing in effect at the time
• Fees are non-refundable except as required by law
• We may change our fees with 30 days' notice
• You authorize us to charge your payment method on a recurring basis
• You can cancel your subscription at any time, effective at the end of the billing period

9. Free Trial

We may offer a free trial period. At the end of the trial, you will be charged unless you cancel before the trial ends. Free trial eligibility is at our sole discretion and limited to one per user.

10. Termination

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay applicable fees
• Create risk or legal exposure for us

You may terminate your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately.

11. Data Security

We implement comprehensive security measures to protect your data and account:

• Encryption: All data is encrypted in transit (TLS/HTTPS) and at rest (AES-256 for files, AES-256-GCM with 96-bit IV for OAuth tokens)
• Password Security: Passwords are hashed using bcrypt with cost factor 12 for strong protection
• CSRF Protection: All state-changing operations are protected with CSRF tokens using constant-time comparison to prevent timing attacks
• Rate Limiting: Upstash Redis with sliding window algorithm prevents abuse and DOS attacks
• Security Headers: Comprehensive Content Security Policy (CSP), X-Frame-Options, HSTS, X-Content-Type-Options, and Referrer-Policy headers
• Input Validation: All user inputs are validated and sanitized to prevent SQL injection and XSS attacks
• Access Control: Role-based access control (RBAC) with permission-based authentication ensures users can only access authorized resources
• Infrastructure: Secure cloud infrastructure hosted on Vercel with Neon PostgreSQL database using pgvector extension

12. Disclaimers and Limitations

12.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12.2 Investment Disclaimer

The Service is not an investment advisor, broker, or financial advisor. We do not provide investment advice or recommendations. All investment decisions are made at your own risk.

12.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify and hold harmless FullDeal AI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

14. Dispute Resolution
